Terms of Service
Last updated: September 15, 2026
1. Acceptance of Terms
In short: using this site or booking an audit means you agree to these terms. If you sign a statement of work with us, that document governs the paid engagement.
These Terms are between you and Eivydas Kantautas, doing business as DataRush (“we,” “us,” or “our”), an individual based in Lithuania. By accessing this website or submitting the audit-request form, you agree to be bound by these Terms of Service. If you are entering into this agreement on behalf of a company, you represent that you have authority to bind that company. You must be at least 18 years old to use this Site on your own behalf.
2. Description of Service
In short: we’re a managed service, not off-the-shelf software. We build and maintain your data pipelines, dashboards, and reporting, working in scoped cycles after a free audit.
DataRush provides managed data infrastructure services, including building and maintaining data pipelines, data quality checks, and reporting dashboards for business clients (“Services”). The Site itself provides marketing information and a free audit-request intake form. We make reasonable efforts to keep the Site available but do not guarantee uninterrupted access.
3. Engagement & Statements of Work
In short: nothing is billed until we’ve scoped the work together and you’ve signed off in writing.
Paid engagements begin only after a free audit and a mutually signed statement of work (“SOW”) or order form, which sets out scope, deliverables, response-time commitments, and fees for that engagement. If any term of an SOW conflicts with these Terms, the SOW controls for that engagement.
4. Accounts & Dashboard Access
In short: keep your login secure — you’re responsible for what happens under your account.
We plan to offer active clients access to a reporting dashboard or client portal directly on this Site; this is not yet available. Once it launches, you will be responsible for maintaining the confidentiality of your credentials and for all activity under your account, and must notify us promptly of any unauthorized use.
5. Payment Terms
In short: pricing is custom-quoted per engagement, invoiced on the schedule in your SOW, with 30-day payment terms and no interest on late payments.
Fees are quoted after your free audit and set out in your SOW; there is no fixed rate card. Unless your SOW states otherwise, invoices are due within 30 days of receipt. We do not charge interest on late payments, but may pause work on an engagement with a significantly overdue invoice. Fees are exclusive of applicable taxes, and refunds, if any, are as specified in your SOW.
6. Intellectual Property
In short: we own our tools and methodology; you own your data.
DataRush retains all rights to its Site, branding, software, pipeline code, and methodology. Subject to payment of applicable fees, we grant you a limited, non-exclusive, non-transferable license to use any deliverables and dashboards we build for you, for your internal business purposes. You may not copy, reverse-engineer, or resell our underlying tooling without our written consent.
7. Client Data
In short: your business data is yours. We only use it to build and run the pipelines and dashboards you hired us for.
You retain all ownership of the business data you provide us or connect us to (“Client Data”). You grant us a limited license to access, process, and store Client Data solely to provide the Services. You represent that you have the right to share Client Data with us and that doing so does not violate any third party’s rights or any law. See our Privacy Policy for how we handle personal information collected through this Site.
8. Prohibited Uses
In short: don’t abuse the Site or use our Services for anything illegal or harmful.
You agree not to:
- Use the Site or Services for any unlawful purpose
- Submit the audit-request form with false or fraudulent information, or attempt to bypass its spam protections
- Scrape, crawl, or systematically extract data from the Site without our written consent
- Attempt to gain unauthorized access to our systems or another client’s data
- Introduce malware or otherwise interfere with the Site’s normal operation
- Impersonate any person or entity, or misrepresent your affiliation with one
9. Privacy
In short: our Privacy Policy explains what we collect and why — it’s part of these Terms.
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. That policy covers your rights under GDPR and CCPA where applicable.
10. Disclaimers & Limitation of Liability
In short: standard legal boilerplate — we’re not liable for things beyond our reasonable control, and our liability is capped.
Except as expressly stated in an SOW, the Site and Services are provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. To the maximum extent permitted by law, DataRush’s total liability arising out of these Terms will not exceed the fees you paid us in the 12 months preceding the claim, and we are not liable for indirect, incidental, special, consequential, or punitive damages. Nothing in this section limits liability that cannot be limited under applicable law. Neither party is liable for delays caused by events beyond its reasonable control (force majeure).
11. Indemnification
You agree to indemnify and hold DataRush harmless from claims, damages, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of the Site or Services, or your violation of applicable law or a third party’s rights.
12. Termination
In short: either side can end an engagement per the notice terms in the SOW; we’ll return or delete your data as agreed.
Either party may terminate a paid engagement as set out in the applicable SOW. We may suspend or terminate access to the Site for anyone who violates these Terms. Upon termination of an engagement, we will, on request, return or delete Client Data within a reasonable period, except where retention is required by law. Sections that by their nature should survive termination (e.g. IP, payment obligations already accrued, indemnification, limitation of liability) will survive.
13. Dispute Resolution & Governing Law
These Terms are governed by the laws of Lithuania, without regard to conflict-of-laws principles. Before filing a claim, both parties agree to attempt to resolve any dispute informally by contacting the other party in writing. Any dispute not resolved informally within 30 days will be subject to the exclusive jurisdiction of the courts of Lithuania, unless otherwise agreed in an SOW.
14. Changes to These Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated “Last updated” date; material changes affecting active engagements will be communicated directly. Continued use of the Site after a change constitutes acceptance of the updated Terms.
15. General Provisions
These Terms, together with any applicable SOW and our Privacy Policy, constitute the entire agreement between you and DataRush regarding the Site. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
